1. About Us

These terms apply to the website merlinsgroup.co.uk and to the services provided by Merlins Group Limited ("Merlins", "we", "us"), a company registered in England and Wales under company number 16251843, with its registered office at Trilogy Suite 9, Church Street, Wednesfield, Wolverhampton, WV11 1SR.

"You" means the business or person using our website or engaging our services.

2. How These Terms Apply

By using our website, booking a review or instructing us to carry out work, you agree to these terms. Every project also has a written proposal, quote or statement of work (a "Proposal") setting out the scope, price and timescales. If the Proposal and these terms disagree, the Proposal wins.

Our services are provided to businesses. Nothing in these terms affects any rights you have by law that cannot be excluded.

3. The Free Review

Our free review is a no-obligation conversation about your website, enquiries, tracking, CRM, processes, reporting and systems. There is no charge and no commitment to buy anything afterwards.

Any recommendations we give during a review are general guidance based on what you tell us at the time. They are not a full audit, and you should not rely on them as professional, legal or financial advice.

4. Our Services

We provide technology, automation, AI, CRM, data, software development, website and marketing services, as described in each Proposal. We will carry out the work with reasonable skill and care, and in line with good industry practice.

Any timescales we give are our best estimate. We will keep you updated if something is likely to change, but we are not responsible for delays caused by things outside our control or by waiting on information, access or approvals from you.

If you want to change the scope after a Proposal is agreed, we will confirm in writing any effect on price or timing before we go ahead.

5. Your Responsibilities

To help us deliver the work, you agree to:

6. Fees and Payment

Our fees are set out in the Proposal. Unless the Proposal says otherwise:

If an invoice is overdue, we may pause work until it is paid, and we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

7. Ownership of the Work

Once you have paid in full, you own the work we create specifically for you under a Proposal, such as your website design, custom code, content and reports.

We keep ownership of our own tools, templates, methods, know-how and any code or components we had before the project or use across clients. Where these form part of your work, we give you a permanent licence to use them as part of that work.

Third-party software, plugins, platforms and stock assets remain subject to their own licence terms.

Unless you tell us otherwise in writing, we may mention you as a client and show the work in our portfolio, case studies and social media. We will never share your confidential information in doing so.

8. Third-Party Tools and Platforms

Much of our work uses or connects to other providers, for example CRMs, accounting software, AI tools, hosting and advertising platforms. We are not responsible for how those services perform, change their features or pricing, or become unavailable. Your use of them is governed by their own terms.

AI tools can produce inaccurate results. Where we build systems that use AI, you are responsible for reviewing outputs before relying on them for important decisions.

We cannot guarantee specific results from marketing, advertising or search engine work, such as rankings, leads or revenue, because these depend on many factors outside our control.

9. Confidentiality and Data

We will keep your confidential information private and only use it to deliver the work. You agree to do the same with ours, including our pricing and methods.

Where we process personal data on your behalf, we do so only on your instructions and in line with UK data protection law. If needed, we will sign a separate data processing agreement. Our Privacy Policy explains how we handle our own data.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that:

11. Ending the Work

Either of us may end a project or ongoing service by giving 30 days’ written notice, unless the Proposal sets a different minimum term or notice period.

Either of us may end the work immediately if the other seriously breaches these terms and does not fix it within 14 days of being asked, or becomes insolvent.

If the work ends, you will pay for work done and costs committed up to the end date. Deposits cover work already started and are not refundable unless the Proposal says otherwise.

12. Using Our Website

The content on this website is for general information only and may change without notice. We try to keep it accurate but do not guarantee that it is complete or up to date.

The website, its design and content belong to Merlins Group Limited. You may view and share it for normal personal or business use, but you may not copy, republish or sell it without our permission.
